Rezumat: The concept of corporate governance in enterprises is an important topic in business administration. The topic is gaining on importance in the last years through the economic and financial crisis in 2007 and the crisis of public deficit and governmental debt in Europe in 2010. This paper describes current national and international legal provisions and standards of corporate governance. A particular emphasis is placed on the differences and influence factors in risk management between Europe and the United States of America.
